The oep (first 80h bytes) of the second file is decrypted using the key.. And well unless I can guess the key or oep it's pretty hard to run that file.....

So well unless it's guessable, which part of the oep is (standard asm entrypoint), decryption of the second file is not possible without a/the valid key..

Though nice protection.. (allthough a tad bit easy..)
